Countermotions at the 2008 Annual Meeting Bley, received on 21 February 2008 Commentary by the Board of Management of Deutsche Beteiligungs AG The proposed Authorisation submitted under Item 7 of the Agenda for the Annual Meeting concerning the acquisition and disposal of own shares is intended to put Deutsche Beteiligungs AG in a position to purchase own shares and use them for the purposes named in the Authorisation in the interest of the Company and its shareholders, as was successfully applied in the past years. The reasons for authorising the Board of Managment to preclude shareholders’ pre-emptive tender rights for purchases and subscription rights for disposals of own shares are detailed in the Report of the Board of Management on Item 7 of the Agenda.
