Directors Dealings
Section 15a of the German Securities Trading Act requires persons charged with managerial responsibilities for an issuer of shares to notify the issuer and the Bundesanstalt für Finanzdienstleistungen (BaFin) concerning own dealings in the issuer’s shares or financial instruments, particularly derivatives, based on these shares (“directors’ dealings”). Consequently, this notification requirement applies to members of the Board of Management and the Supervisory Board as well as further executives of Deutsche Beteiligungs AG who regularly have access to insider information and who are authorised to take important managerial decisions. The notification requirement is also applicable to persons who are closely associated with this group of individuals as well as legal entities for which this group of individuals or persons closely associated with them perform managerial responsibilities or which they control.
